Steven H. Lang, Esq.
Steven H. Lang joined 360 Venture Law in January 2009. Prior to joining 360 Venture Law, Steve was Of Counsel with Greenberg Traurig, LLP, one of the largest international, full-service law firms, and prior to Greenberg Traurig, Steve practiced with Kutak Rock, LLP, a large national law firm.
Steve’s practice focuses on representing growing businesses and entrepreneurs in a wide variety of legal issues. Steve typically represents clients in the initial formation of their businesses, and often acts as their “outside” general counsel, assisting clients with their transactional matters and providing clients with general advice in the operation of their businesses. Specifically, Steve assists buyers and sellers in the negotiation of mergers, acquisitions and sales, and assists companies who are raising capital through debt or equity offerings, including advising on the rights, privileges, and preferences of common stock, preferred stock, convertible debt, warrants and other equity and debt arrangements. Steve also has extensive experience drafting and negotiating all types of commercial agreements, including employment, consulting, joint venture, partnership, license, release, secured financing, non-competition, non-disclosure and proprietary rights agreements.

Mergers
- Representation of an international online publishing company in a merger with a public company, which included private equity financing of $49.5M from foreign and U.S. investors, initial registration of securities for newly created public holding company and resale registration for investors.
- Representation of a data center in a $47.5M double-dummy merger.
Acquisitions and Sales
- Representation of a public company in the acquisition of multiple physician practices ranging from $1.5M to $50M.
- Representation of online publishing company in the acquisition of additional content.
- Representation on an Atlanta online retailer in the sale of its assets.
- Representation of a purchaser in the acquisition of an Atlanta restaurant.
Private Equity & Venture Capital
- Representation of an online university in a recapitalization and multiple private equity financings and rights offerings totaling approximately $35M. Representation included designing the rights, privileges and preferences of preferred equity and creation of management incentive plan.
- Representation of a private equity fund in multiple equity and debt financings and venture capital investments.
- Representation of a sleep lab company in multiple equity financings.
- Representation of online publishing company in multiple preferred stock and debt financings.
Secured Financing
- Representation of a musical instrument manufacturer in multiple refinancings of $100M+ secured credit facility.
- Assistance to a secured lender in diligence and security interests for a loan to a private equity fund.
Employment
- Preparation and negotiation of employment agreements, consulting agreements, non-competition, non-disclosure and proprietary rights agreements in connection with mergers, acquisitions and company formations.
- Preparation of equity compensation and incentive plans.
Business Agreements
- Negotiation of license agreements and commercial leases.
Steve serves on the board of the Goizueta Business School Alumni Entrepreneur Network, and has served on the executive committee of the Atlanta Bar Association’s charity comedy production “A Courthouse Line”, as a writer, actor, assistant and co-director. Steve is an avid runner, and has completed numerous marathons and half-marathons and is currently training to qualify for the Boston Marathon. Steve founded the Piedmont Park Track Club in 2008, which provides its members with an opportunity to network with other runners and improve their race times, and Steve is always happy to meet his clients for a run to discuss any ideas, issues or thoughts they have free of charge.
Steve was born and raised in Miami, Florida. Steve graduated with a Bachelor of Science in Business Administration, with honors, from the University of Florida in 1993, and received his Juris Doctor, with distinction, from Emory University in 1998. Steve is a member of the State Bar of Georgia.
